General Terms and Conditions of Sale and Reservation

01 [ Seller Identity ]

J2R Dynamics, a simplified joint-stock company (société par actions simplifiée) with share capital of €23,118.00, registered with the Albi Trade and Companies Register under number 951 339 944, whose registered office is located at 8 avenue Pierre-Gilles de Gennes, 81000 Albi, France. 02 [ Scope and Acceptance ]

These general terms and conditions (the "GTC") govern the relationship between J2R and any natural person of legal age acting as a consumer (the "Customer") who, on the j2r.bike website or at a physical stand operated by J2R during an event, places a reservation for a J2R motorcycle or orders an apparel item or accessory as part of a Drop.

The Refund Policy, available at j2r.bike/en/politique-de-remboursement/, forms an integral part of these GTC. In the event of any discrepancy, the provision most favourable to the Customer prevails.

Validating a reservation or an order constitutes acceptance of the GTC in force on that date, which the Customer acknowledges having reviewed beforehand.

J2R may amend these GTC at any time. Amendments do not apply to orders already validated. For ongoing Reservations, any substantial amendment is notified to the reserving Customer at least thirty (30) days before it takes effect; the Customer retains, as at any time, the option to request a full refund of their Reservation Deposit before it takes effect.

03 [ Definitions ]

"Reservation": the deposit, by the Customer, of a sum of money granting them a priority rank for the future purchase of a J2R motorcycle. The Reservation does not constitute a sale.

"Reservation Deposit": the sum of €250 incl. VAT paid in respect of the Reservation, fully refundable.

"Final Sale Agreement": the firm and definitive contract of sale concluded subsequently between J2R and the Customer, formalised by the signing of a purchase order specifying the vehicle, its configuration, its final price and its delivery times. Only the Final Sale Agreement forms the sale.

"Drop": an offer to sell apparel items or accessories open for a limited period announced on the website, at the end of which production of the ordered items is launched.

04 [ Motorcycle Reservations ]

Nature of the Reservation. The sole purpose of the Reservation is to grant the Customer a priority rank in the order in which the motorcycles offered for sale by J2R are allocated. Ranks are assigned in chronological order of validation of payment of the Reservation Deposit. The Reservation constitutes neither a sale, nor a promise of sale, nor a firm order. The Reservation Deposit constitutes neither a deposit (arrhes) within the meaning of Articles 1590 of the Civil Code and L. 214-1 of the Consumer Code, nor a down payment. It is a fully refundable deposit that definitively binds neither the Customer nor J2R to conclude the sale. The sale will be formed only by the conclusion of the Final Sale Agreement.

Amount and payment. The Reservation Deposit amounts to €250 incl. VAT per motorcycle reserved, payable in euros only, in a single payment, by bank card via the secure payment provider Stripe, both on the website and at J2R stands. The Customer receives an email confirmation stating their priority rank, the amount paid, the link to the Refund Policy and a reminder of their right to a full refund. Reservations are limited to two (2) motorcycles per person.

Indicative specifications and price. The technical specifications, configurations and prices of the motorcycles presented on the date of the Reservation are provided for information only and are liable to change up until the conclusion of the Final Sale Agreement, in particular to take account of technical, regulatory or industrial developments of the product. The final price will be stipulated in the Final Sale Agreement and may differ from the indicative price displayed. No change can bind the Customer, who retains their right to a full refund at any time.

Full refund on simple request. The Reservation Deposit is fully refundable, at any time, unconditionally, without penalty and without charge, on the Customer's simple request sent to [email protected]up until the conclusion of the Final Sale Agreement. The refund is issued to the original payment method, in practice within 5 to 10 business days and no later than fourteen (14) days from the request. The refund request entails the loss of the priority rank. The detailed terms are set out in the Refund Policy.

Conversion into a Final Sale Agreement. When the motorcycles are opened for firm ordering, J2R will contact reserving Customers in order of their rank and will provide them with the final configuration, the final price, the delivery times and the draft Final Sale Agreement. The Customer then has a period of thirty (30) days to conclude. If concluded, the Reservation Deposit is applied in full to the sale price. Failing that, or if the Customer declines, the Deposit is refunded to them in full. If J2R is unable to offer the conclusion of a Final Sale Agreement, for any reason whatsoever, or decides not to market the reserved model, the Reservation Deposit is refunded in full and automatically to all reserving Customers, with no action required on their part and with no indemnity on either side.

Right of withdrawal. Without prejudice to the unconditional right to a refund set out above, which is more favourable to them, a Customer who made their Reservation at a distance or off-premises has the right of withdrawal provided for in Articles L. 221-18 et seq. of the French Consumer Code, lasting fourteen (14) days from the Reservation, exercisable by means of the form appearing at the bottom of the page or by any unambiguous statement.

Personal nature of the Reservation. The Reservation and the priority rank attached to it are personal to the Customer and may not be transferred without J2R's prior written consent. The suspension or closure, for any reason whatsoever, of the Customer's access to J2R's services does not affect their right to a full refund of any Reservation Deposit held by J2R on that date.

05 [ Apparel and Accessories Sales (Drops) ]

Drop mechanics. Items are offered for sale during a limited period whose opening and closing dates are announced on the website. At closing, production of the ordered items is launched, then the items are shipped. The Customer is informed, before validating their order, of the Drop schedule: closing date, estimated production time and delivery deadline.

Order, confirmation and payment. An order placed during the Drop period constitutes a firm sale, payable in full at the time of ordering, in euros, by bank card via the secure payment provider Stripe, both on the website and at stands. J2R confirms the order by email summarising the items, sizes, prices and delivery deadline. In the event of a manifest price display error (a derisory price or one clearly erroneous in view of the actual value of the item), J2R may cancel the order concerned and refund the Customer in full, who will be informed as soon as possible. Prices are stated in euros, inclusive of all taxes, excluding delivery costs, which are displayed before validation.

Delivery. Delivery takes place no later than the deadline indicated to the Customer before validation of their order, which may not exceed eight (8) weeks from the closing of the Drop. This date constitutes J2R's delivery commitment within the meaning of Article L. 216-1 of the French Consumer Code. In the event of an overrun, the Customer may, after having instructed J2R in writing to deliver within a reasonable additional period, terminate the order under the conditions of Article L. 216-6 of the Consumer Code; the sums paid are refunded to them in full within fourteen (14) days. Risk transfers upon physical handover of the items to the Customer. Delivery area: mainland France.

Right of withdrawal. For any distance order, the Customer has fourteen (14) days from receipt of the items to withdraw, without reason, under the conditions of Articles L. 221-18 et seq. of the French Consumer Code. Items produced in standard series and sizes are not goods made to the consumer's specifications within the meaning of Article L. 221-28. Return and refund terms: see the Refund Policy. For items purchased and taken away at a J2R stand during a trade fair, exhibition or event, the right of withdrawal does not apply (Article L. 224-59 of the Consumer Code); information to this effect is displayed at the stand.

Statutory guarantees. Regardless of any withdrawal, the Customer benefits from the statutory guarantee of conformity (Articles L. 217-3 et seq. of the French Consumer Code, two years from delivery) and the warranty against hidden defects (Articles 1641 et seq. of the Civil Code). 06 [ Common Provisions ]

Price and secure payment. All prices are expressed in euros, inclusive of all taxes. All payments, both online and at stands, are processed by Stripe Payments Europe Ltd; J2R stores no bank card data. J2R is not responsible for exchange fees or commissions applied by the Customer's bank.

Personal data. The personal data collected is processed in accordance with the privacy policy accessible on j2r.bike.

Intellectual property. The J2R trademark, the SMOL name, the logos, visuals and associated content are the exclusive property of J2R Dynamics. No Reservation or order grants the Customer any right to these elements.

Liability and force majeure. J2R cannot be held liable for the non-performance of its obligations in the event of force majeure within the meaning of Article 1218 of the Civil Code. In connection with Reservations, J2R's liability is in any event limited to the full refund of the Reservation Deposit. No provision herein limits the rights the Customer holds under the mandatory provisions of consumer law.

Governing law and jurisdiction. These GTC are governed by French law. Any dispute falls within the jurisdiction of the competent French courts under ordinary law. The consumer Customer may bring the matter, at their choice, before one of the courts with territorial jurisdiction under the Code of Civil Procedure or that of the place where they were resident at the time the contract was concluded.

Partial invalidity. If any provision of these GTC were declared void or unwritten, the other provisions would retain their full effect.
